1. Acceptance of Terms

By accessing or using VidQuill at vidquill.com (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, please do not use the Service.

We may update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance.

2. About the Service

VidQuill provides free, AI-assisted tools designed to help YouTube content creators generate optimised video metadata, including:

  • YouTube title suggestions
  • YouTube video descriptions
  • YouTube tags and hashtags
  • An all-in-one content optimisation workflow

The Service is provided for informational and creative-assistance purposes. VidQuill does not guarantee any specific outcome, including improved search rankings, increased views, or monetisation results.

3. Eligibility

You must be at least 13 years old (or 16 in the European Union) to use VidQuill. By using the Service, you confirm you meet this requirement. If you are using VidQuill on behalf of a business or organisation, you confirm you have authority to bind that entity to these Terms.

4. Acceptable Use

You agree to use VidQuill only for lawful purposes. You must not:

  • Use the Service to generate content that is illegal, harmful, threatening, abusive, hateful, defamatory, obscene, or otherwise objectionable
  • Use the Service to create misleading clickbait titles that do not accurately represent your video content, in violation of YouTube's policies
  • Attempt to circumvent or abuse the daily usage limits through automated tools, bots, scripts, or any other means not approved by us
  • Attempt to access, probe, or interfere with the Service's underlying systems, code, or infrastructure
  • Collect or harvest data from VidQuill without prior written authorisation
  • Use the Service in any way that could damage, disable, overburden, or impair its operation
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

We reserve the right to suspend or permanently block access for any user who violates these Terms.

5. Usage Limits

To maintain free access for all users, VidQuill enforces daily usage limits per tool. These limits are applied per IP address and may change at any time without prior notice.

We reserve the right to modify, suspend, or discontinue the Service or any part of it at any time without notice and without liability to you.

6. Intellectual Property

6.1 VidQuill's Content

All original content, branding, design, code, and materials on VidQuill are the intellectual property of VidQuill or its licensors and are protected by applicable copyright and trademark laws. You may not reproduce, modify, distribute, or create derivative works from VidQuill's content without express written permission.

6.2 Generated Output

Titles, descriptions, tags, and other text generated by VidQuill's tools are provided for your personal and commercial use. You are solely responsible for ensuring your use of any generated content complies with YouTube's Terms of Service, Community Guidelines, and all applicable laws. VidQuill does not claim ownership over outputs you generate.

6.3 Your Input

You retain full ownership of any text you submit to VidQuill. By submitting input, you grant us a limited, non-exclusive, royalty-free licence to process that input solely for the purpose of providing the Service to you.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, or error-free
  • Generated content will be accurate, complete, or suitable for your specific needs
  • Results will achieve any particular YouTube search ranking or performance outcome
  • The Service will be free from security vulnerabilities or technical issues

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VIDQUILL AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED USD $100.

9. Third-Party Services

VidQuill integrates with third-party services to deliver its features. Your use of the Service is also subject to the terms of these third-party providers. We are not responsible for the availability, accuracy, or actions of any third party.

The Service may contain links to external websites. We do not endorse or accept responsibility for those sites or their content.

10. Indemnification

You agree to indemnify and hold harmless VidQuill and its operators from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Governing Law & Disputes

These Terms are governed by applicable law. Any disputes shall be resolved first through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or small claims court as appropriate.

12. Termination

We may terminate or suspend your access to the Service at any time, without prior notice, if you breach these Terms or if we reasonably believe your use is harmful to VidQuill or its users.
